The terms and conditions listed below govern the use of the services and materials provided by Briefit LLC.
By accessing this website you accept these terms and conditions in full. Do not continue to use briefit.com's website if you do not accept all of the terms and conditions stated on this page.
The terms "you" and "your" for purposes of these terms and conditions mean the individual, company, partnership, association, limited liability company, corporation, governmental agency or entity or other entity that creates a Trial, Document Analysis or Regulatory Analysis Subscription or otherwise uses the Briefit Website (as defined below) with or without a subscription. "The Company", "Ourselves", "We", "Our" and "Us", refers to Briefit LLC. These terms and conditions are subject to amendment from time to time without notice by Briefit LLC, except as provided below.
Grants of Rights and Limits on Use
You, as a user of the Briefit Website and any related services offered by Briefit (a "User"), are granted a nonexclusive, nontransferable, limited right to access and use for research purposes the services and materials made available to you on or through the Briefit Website (the "Services" and "Materials" respectively). Except as provided in these terms and conditions, no license or other right to use the Services or Materials is granted to you. The rights listed in these terms and conditions are granted to you only to the extent (i) your subscription plan makes the applicable Services or Materials available to you and (ii) you use the Services and Materials in accordance with these terms and conditions.
Users, to the extent applicable, have
- The right to electronically display Materials retrieved from the Services for the User's individual use (e.g., no Authorized User may network others via LANs, WANs, intranets or the Internet).
- The right to email, download and store and print Materials for personal or professional use to the extent permitted by applicable copyright law and subject to any additional limitations imposed through the Briefit Website;
- The right to distribute copies or printouts of materials on an occasional, infrequent basis as permitted by applicable copyright law.
Downloading and storing Materials in an archival database is prohibited. You are not permitted to access or use the Services for any purpose, unless such access or use is permitted under these terms and conditions. If you nevertheless access and use the Services or Materials, your access and use will be governed by these terms and conditions and you will be liable to Briefit LLC for any breach of these terms and conditions.
Except as specifically provided above, you are prohibited from downloading, emailing, faxing, storing, reproducing, transmitting, displaying, copying, distributing, or using Materials retrieved from the Services. You may not exploit the goodwill of Briefit LLC, including its trademarks, service marks, or logos without the express written consent of Briefit LLC. Notwithstanding anything herein to the contrary, you may not offer any part of the Services or Materials for commercial resale or commercial redistribution in any medium or use the Services or Materials to compete with the business of Briefit LLC.
All right, title, and interest (including all copyrights, trademarks and other intellectual property rights) in the Services and Materials in any medium belongs to Briefit LLC, to the extent applicable, or the third party that produced the Materials. You do not acquire any proprietary interest in the Services, Materials, or copies of the Materials, except the limited rights granted in these terms and conditions.
You may not use the Services or Materials in any fashion that infringes the intellectual property rights or proprietary interests of Briefit LLC or any third party. Your use of the Services and Materials must comply with all applicable laws, rules or regulations.
You may not remove or obscure any copyright notice or other notices contained in Materials.
You may not use information included in the Services or Materials to determine an individual consumer's eligibility for (a) credit or insurance for personal, family, or household purposes; (b) employment; or (c) a government license or benefit. The term "consumer" is defined in the United States Fair Credit Reporting Act at 15 USC Â§1681.

Services and Subscriptions
The Services currently available on the Briefit Website include those listed below.
Document Analysis Subscription
- Find and Compare Text: This feature allows you to supply text to the Briefit AI to match and blackline against up to 20 documents which may be supplied in the form of an upload, url, pasted text, or a citation.
- Clause Search: This feature allows you to find specific clauses within your uploaded documents. The search results return just the clause and not the entire document allowing easy comparison of different versions of a particular clause.
- Instant Summaries: The instant summaries feature allows you to view a summarized version of any uploaded document, input url or pasted text.
- Blackline Analysis: This feature allows you to supply text in the form of an upload, url or pasted text to the Briefit AI to blackline against any other document which may be supplied in the form of an upload, url or pasted text.
Regulatory Analysis Subscription
The Regulatory Analysis Subscription includes all the features of the Document Analysis Subscription and offers the additional features described below.
- AI Based regulatory document analysis: Briefit AI will search for related documents in real-time - not just citations but also documents which deal with similar regulatory issues allowing an instant gap analysis.
- New regulation notifications: Be notified as new regulations and related documents are published. Set up filters to receive notifications of only relevant documents - filter by phrases, keywords or agencies.
- Regulatory Summaries: Regulatory summaries are an enhanced version of the instant summary feature described above. Publications appearing in the Federal Register can be summarized in real-time in a structured format allowing you to quickly overview the key features of a new agency publication.
- Regulatory Search: Natural language search with a regulatory focus. Search Briefit's constantly updated library including: All U.S. laws and regulations (U.S. Code, CFR, Federal Register, Public laws) and millions of documents from regulatory agencies (enforcement actions, legal interpretations, speeches, guidance documents and more).
- Historical CFR Comparison: Select a section in the Code of Federal Regulations and a year from 1997 to the present in the Briefit library. Briefit will return a comparison of the historical version of the section from the given year against the current version.
You may cancel your subscription at any time for any reason.
Subscriptions are non-refundable. However, if a subscription is cancelled during a billing cycle, any credit balance in the account will be available to be applied towards future subscriptions for a period of one year.
Your subscription will renew each month unless it is terminated or otherwise agreed to by Briefit LLC in writing. You may terminate your subscription at any time by using the Briefit Website and cancelling your subscription. The Briefit Website will be the sole means of terminating your subscription unless Briefit LLC consents to another means of termination in writing.
Hyperlinking to our Content
You are permitted to link to the Briefit Website so long as the link: (a) is not in any way misleading; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and (c) fits within the context of the linking party's site.
For the avoidance of doubt, without the prior written consent of Briefit LLC, you may not create frames around any page on the Briefit Website or use other techniques that alter in any way its appearance.
Limits on Access to Services
Use of the Services through programmatic, scripted or any other automated means is strictly prohibited. Use of the Services is permitted only through manually conducted individual searches.
Your use of the Services must be done in compliance with applicable law.
Services may be cancelled, deleted, enhanced or otherwise changed by Briefit without notice.
EXCEPT AS OTHERWISE PROVIDED IN SECTION 3.1, THE SERVICES AND MATERIALS ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS AND BRIEFIT LLC EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitations on Liability
A Covered Party (as defined below) will not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from (a) any errors in or omissions in or from the Services or any Materials, (b) any unavailability or interruption of all or any part of the Services or any Materials, (c) your use of the Services or Materials or the Briefit Website, (d) the loss or corruption of any data or equipment in connection with the Services or Materials, (e) the content, accuracy, or completeness of the Materials or the Services, regardless of whether you received assistance in the use of a Service from a Covered Party, (f) any delay or failure by a Covered Party beyond the reasonable control of a Covered Party, or (g) any notification, comparison, blackline or information retrieved from or obtained using or through the Briefit Website or the Internet, even if retrieved or linked to from within the Briefit Website.
A "Covered Party" refers to (a) Briefit LLC and any officer, director, partner, employee, adviser, subcontractor, agent, successor, or assign of Briefit LLC; and (b) the owner, author, publisher or provider of any Materials, any of their affiliates, and any officer, director, partner, employee, adviser, subcontractor, agent, successor, or assign of any such party or their affiliates.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE COVERED PARTIES IN CONNECTION WITH ANY CLAIM ARISING FROM OR OTHERWISE RELATING TO THE SERVICES OR MATERIALS OR THEIR USE, OR YOUR MEMBERSHIP ON THE BRIEFIT WEBSITE, WILL NOT EXCEED THE LESSER OF YOUR ACTUAL DIRECT DAMAGES OR THE AMOUNT YOU PAID FOR THE ONLINE SERVICES IN THE SIX-MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE (THE "DAMAGE CAP"). YOUR RIGHT TO MONETARY DAMAGES UP TO BUT NOT EXCEEDING THE DAMAGE CAP IS IN LIEU OF ALL OTHER REMEDIES THAT YOU MAY HAVE AGAINST ANY COVERED PARTY.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, NEITHER YOU NOR THE COVERED PARTIES WILL BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES) ARISING FROM OR OTHERWISE RELATING TO THE SERVICES, MATERIALS, THE USE OF THE BRIEFIT WEBSITE, OR THE FAILURE OF ANY COVERED PARTY TO PERFORM ANY OBLIGATION. THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO YOUR INFRINGEMENT OF INTELLECTUAL PROPERTY OR ANY VIOLATION BY YOU OF THESE TERMS AND CONDITIONS.
Your right to a monetary award up to the Damage Cap will constitute your sole and exclusive remedy against any Covered Party for any of the matters specified above.
These terms and conditions may be amended at any time by Briefit LLC in its sole discretion and are otherwise not subject to amendment unless consented to in writing by Briefit LLC, provided that changes in the price for Services or Materials will only change with at least 30 days prior written notice. All notices and other communications hereunder will be in writing or displayed electronically on the Briefit Website by Briefit LLC. Notices will be deemed to have been properly given on the date deposited in the mail, if mailed; on the date first made available, if displayed on the Briefit Website; or on the date received, if delivered in any other manner, including by e-mail.
You may terminate your subscription at any time using the Briefit Website.
These terms and conditions may not be supplemented, modified or otherwise revised except by a written document signed by Briefit.
YOUR USE OF THE SERVICES MAY BE TERMINATED BY BRIEFIT LLC FOR ANY REASON AT ANY TIME. IN THE EVENT YOUR SUBSCRIPTION IS TERMINATED BY BRIEFIT LLC, YOU WILL BE REFUNDED ANY FEES PAID RELATING TO THE PERIOD BEGINNING ON THE DAY FOLLOWING THE DATE OF THE TERMINATION AND ENDING ON THE LAST DAY OF THE MONTH IN WHICH THE SUBSCRIPTION WAS TERMINATED.

The failure of Briefit LLC to enforce any provision of these terms and conditions does not constitute a waiver.
You may not assign your rights without the prior written consent of Briefit LLC. These terms and conditions will be binding on, and inure to the benefit of, any permitted assigns.
These terms and conditions will be governed by and construed in accordance with the laws of the State of New York without regard to conflicts-of-law principles. If any provision of these terms and conditions is held to be invalid or unenforceable in whole or part, then (i) that provision will be interpreted, construed and reformed to the extent reasonably required to render it valid and enforceable and consistent with its original intent and (ii) the invalidity or unenforceability will not affect any other provision of these terms and conditions.
These terms and conditions constitute the entire agreement of you and Briefit LLC regarding your use of the Briefit Website, Services and Materials and replaces and supersedes any prior written or verbal communications, representations, proposals or quotations on that subject matter.
